Affiliate Terms

These Affiliate Terms govern the Cubrik affiliate programme (the "Programme"), operated by Next Step L.L.C-FZ ("Cubrik", "we", "us"). They apply to you, in addition to the Terms of Service, from the moment you join the Programme from the Affiliate page of your account. The version you accepted, and when, is recorded when you join.

1. Joining

1.1. Any holder of a Cubrik account who meets the eligibility conditions of the Terms of Service (clause 3) may join while the Programme is open. Joining is free.

1.2. Commissions are calculated and paid by Whop, Inc. ("Whop"), the payment provider through which plans are sold on our website, so you need a Whop account. When you join, we look for the Whop account that uses the e-mail address of your Cubrik account or, failing that, the Whop account with which you pay for your Cubrik plan, and we make it an affiliate of our Whop account. We do not accept another person's Whop account.

1.3. Your use of Whop, including how and when your commissions are paid out to you, is governed by Whop's own terms. You are responsible for any taxes due on the commissions you receive.

2. Your links and your referrals

2.1. You receive a link of the form cubrik.ai/a/your-code. You may choose its code and create further links for different channels; every code you have had keeps working. Codes that could be taken for Cubrik's own — codes beginning with "cubrik", or words such as "support" or "official" — are not available.

2.2. A person is your referral when they create a Cubrik account within 60 days of opening one of your links in their browser, or when they enter one of your codes in the application within 7 days of creating their account and before their first payment. If a person opens the links of several affiliates, the last one opened counts. An account is the referral of one affiliate at most, and never of the affiliate themself.

3. Commissions

3.1. Whop pays you a commission on the payments for plans that your referrals make through Whop's checkout on our website, provided their first such purchase is made within 60 days of creating their account. The commission applies to every payment of that subscription for as long as it continues, including the payments after a move to a higher plan.

3.2. Rates. The standard rate is 20% of each such payment. While you have at least 20 active paying referrals, the rate is 30%; if your count is below 20 at every count for 7 consecutive days, the standard rate applies again. From 100 active paying referrals you may ask us for a rate of your own, which applies once agreed with you in writing (an e-mail is enough); a rate agreed with you is not changed by the counts. The rates in force, and your current rate, are shown on your Affiliate page.

3.3. An active paying referral is a referral whose account holds a paid plan on the day of the count — bought on our website, in the App Store or on Google Play — for which a payment has been made and not refunded. Your own accounts, and accounts that appear to belong to you or to the same person as one another, do not count. We count every night, and our count is the one that sets your rate.

3.4. No commission is paid on plans bought in the App Store or on Google Play (Apple and Google, not Whop, take those payments), on one-time purchases of credits, on payments made by you or for your own benefit, or on payments that are refunded or disputed.

3.5. Whop calculates the commission on each payment and holds it for 30 days before releasing it, and reverses the commission on a payment that is refunded or disputed. Cubrik does not pay commissions itself and is not liable for Whop's payouts.

4. Rules

You must promote Cubrik honestly and lawfully. In particular, you must not:

• refer yourself, or create accounts — or have others create them — to earn commissions or bonus credits;
• offer money or other rewards in exchange for sign-ups, beyond telling people about the bonus credits described in clause 7.8 of the Terms of Service;
• send unsolicited messages, or post your links where the rules of the place forbid it;
• make false or misleading claims about Cubrik, including promises of trading results, profits or income;
• present yourself as Cubrik or as acting on its behalf, or use the Cubrik name or logo in a way that suggests so;
• bid on "cubrik" or similar terms in search or social advertising, or register domains or accounts that contain them;
• direct your links at people for whom using the Service would be unlawful.

Where the law of your audience requires it, what you publish about Cubrik must make clear that you earn a commission, and it must say that trading carries a risk of loss.

5. Suspension and removal

We may suspend you or remove you from the Programme, and ask Whop to withhold the commissions concerned, if you break these Affiliate Terms or the Terms of Service, or if we reasonably suspect fraud. Outside such a case, we give you 15 days' notice by e-mail before removing you. You may leave the Programme at any time by writing to partners@cubrik.ai.

6. Changes to the Programme

We may change the rates, the thresholds or these Affiliate Terms, or close the Programme. We tell you by e-mail at least 15 days before a change that lowers your rates takes effect. A change never applies to commissions Whop has already recorded.

7. Independence

You act as an independent party. Nothing in the Programme makes you an employee, agent, partner or representative of Cubrik, and you may not make commitments on its behalf.

8. Liability and governing law

Clauses 11 (Limitation of liability) and 15 (Governing law and jurisdiction) of the Terms of Service apply to the Programme.
