Terms of Service

1. Purpose
These Terms of Service ("Terms") govern access to and use of the Cubrik service (the "Service"), available at cubrik.ai and operated by Next Step L.L.C-FZ ("Cubrik", "we", "us"). By creating an account you accept these Terms, the Privacy Policy and the Risk Disclosure without reservation.
2. Description of the Service
Cubrik is a software platform (SaaS) that lets users configure automated agents powered by third-party artificial intelligence models. The user connects their own third-party accounts and tools (through MCP connectors or API keys they provide), writes instructions, and defines triggers and execution limits. The agent then performs actions on those third-party accounts, on behalf of and under the sole responsibility of the user.
Cubrik is an execution tool. Cubrik makes no decisions on its own behalf, provides no advice, holds no funds and has no access to any withdrawal function on the user's third-party accounts.
3. Eligibility
The Service is available to natural persons of legal age (18 or the age of majority in their country of residence, if higher) with full legal capacity, and to legal entities represented by an authorised person.
You are solely responsible for verifying that use of the Service, and of the third-party services you connect to it, is lawful in your country of residence. The Service is not intended for residents of jurisdictions where its use would be prohibited.
4. User account
You must provide accurate information and keep it up to date. You are responsible for the confidentiality of your credentials and for all activity carried out from your account. One account per person. We may suspend or close an account in the event of a breach of these Terms, suspected fraud or legal obligation.
5. Connecting third-party accounts and API keys
5.1. You supply the API keys or connectors to your third-party accounts yourself. You represent that you are their legitimate holder or have the necessary authorisation.
5.2. You undertake to create such keys without withdrawal or fund-transfer permissions. Cubrik reserves the right to refuse or disable any key carrying such permissions.
5.3. Keys are encrypted at rest. You may revoke them at any time from Cubrik or from the relevant third-party service.
5.4. Cubrik is not a party to the contractual relationship between you and the connected third-party services (exchanges, AI model providers, etc.). Their own terms apply. Cubrik is not responsible for their availability, fees, errors or decisions (account suspension, liquidation, etc.).
6. Agent operation and user responsibility
6.1. You are solely responsible for the instructions you give to agents, the limits you set and any action executed as a result on your third-party accounts.
6.2. AI models are probabilistic: their analyses may be wrong, incomplete or inconsistent. Cubrik does not guarantee the accuracy of any analysis, the achievement of any result, or the absence of loss.
6.3. Execution limits (risk per action, daily caps, time windows, etc.) are software safeguards provided for convenience. They may fail to apply in the event of a third-party service malfunction, latency, network unavailability or exceptional market events (gaps, liquidation, trading halts). You must supervise your agents and retain the means to intervene directly from your third-party accounts.
6.4. You undertake not to use the Service to manipulate a market, circumvent the rules of a third-party platform, access accounts you do not hold, or for any unlawful activity.
7. Subscription, pricing and payment
7.1. The Service is offered under the subscription plans described on the Pricing page. Prices are exclusive of applicable taxes, in the currency indicated.
7.2. Payment is monthly, in advance, through our payment provider. Subscriptions renew automatically each month until cancelled.
7.3. Cubrik charges no commission on results obtained by the user.
7.4. We may change prices with 30 days' notice by e-mail; the change applies from the next billing period.
8. Withdrawal right and refunds
8.1. A free plan (Demo) allows you to test the Service before any payment.
8.2. If you are a consumer residing in the European Union or the United Kingdom, you have a 14-day right of withdrawal from the date you subscribe to a paid plan. By activating the Service before this period expires, you expressly request its immediate performance and acknowledge losing your right of withdrawal for the period already started.
8.3. Otherwise, amounts paid are non-refundable, except in the event of Service unavailability attributable to Cubrik exceeding 72 consecutive hours within a billing period, in which case a pro-rata refund is granted on request to [email protected].
9. Termination
You may cancel at any time from your account; cancellation takes effect at the end of the paid period. We may terminate with 30 days' notice, or without notice in case of serious breach. Upon closure, your API keys are deleted from our systems within 30 days; you should also revoke them on the third-party service side.
10. Availability and changes to the Service
The Service is provided "as is". We aim for high availability without guaranteeing it. Interruptions for maintenance or technical reasons may occur. We may change, add or remove features, connectors or third-party models at any time.
11. Limitation of liability
To the extent permitted by applicable law:
- Cubrik is not liable for financial losses, loss of profit, loss of data or indirect damages arising from use of the Service, from actions executed by agents, or from connected third-party services.
- Cubrik's total liability, on any basis, is limited to the subscription fees you paid during the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits Cubrik's liability for fraud, gross negligence, or where such limitation is prohibited by mandatory consumer protection law.
12. Intellectual property
The Service, its code, interfaces and trademark remain the property of Cubrik. You retain ownership of your instructions and data. You grant us a limited licence to process them solely for the purpose of providing the Service.
13. Personal data
The processing of your data is described in the Privacy Policy.
14. Changes to these Terms
We may amend these Terms. Material changes are notified by e-mail or in the application at least 15 days before they take effect. Continued use constitutes acceptance.
15. Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates and the regulations of the Meydan Free Zone. Any dispute shall be submitted to the competent courts of Dubai, without prejudice to mandatory provisions applicable to consumers in their country of residence.
